Data Processing Agreement

This Data Processing Agreement ("DPA") forms part of the agreement between Getcha Solutions ("Processor", "we", "us", "our") and the customer using Getcha System ("Customer", "you").

This DPA applies where we process personal data on behalf of the Customer in connection with the Services.

1. Definitions

"Customer Data" means data, including personal data, submitted to or processed through the Services by or on behalf of the Customer.

"Personal Data" means data about an identifiable individual to the extent regulated under applicable data protection law.

"Processing" includes collecting, recording, storing, using, disclosing, transmitting, organising, modifying, deleting or otherwise handling data.

2. Roles of the Parties

The Customer is the party that determines the purposes and means of processing Customer Data.

Getcha Solutions processes Customer Data on behalf of the Customer for the purpose of providing the Services.

3. Scope of Processing

We may process Customer Data to:

• host and provide the Services
• store and retrieve Customer Data
• authenticate users and manage access
• provide support, maintenance and troubleshooting
• protect the security and integrity of the Services
• comply with applicable law

4. Customer Instructions

We will process Customer Data only on documented instructions from the Customer, unless otherwise required by applicable law.

The Customer instructs us to process Customer Data as necessary to provide the Services and as otherwise permitted by the main service agreement.

5. Customer Responsibilities

The Customer is responsible for:

• ensuring it has the right and legal basis to collect and use Customer Data
• providing any required notices to individuals
• obtaining any required consents
• responding to requests from individuals where legally required
• using the Services in a lawful manner

6. Confidentiality

We will ensure that persons authorised to process Customer Data are subject to appropriate confidentiality obligations.

We will take reasonable technical and organisational measures designed to protect Customer Data against unauthorised or accidental access, collection, use, disclosure, copying, modification, disposal, loss or similar risks.

11. Data Incidents

If we become aware of a confirmed security incident affecting Customer Data under our control, we will notify the Customer within a reasonable time and provide available information reasonably necessary for the Customer to assess the incident and meet its own obligations.

12. Retention and Deletion

We may retain Customer Data for the duration of the Services and for a limited period thereafter where reasonably necessary for backup, legal, operational or dispute-resolution purposes.

Upon termination of the Services and subject to applicable law and technical limitations, we may delete Customer Data in accordance with our standard retention practices.

13. Audits and Information

Upon reasonable written request, we may provide information reasonably necessary to demonstrate our compliance with this DPA, subject to confidentiality, security and commercial sensitivity considerations.

14. Liability

This DPA is subject to the liability limitations and exclusions stated in the main Terms of Service or other governing agreement between the parties.

15. Order of Precedence

If there is a conflict between this DPA and the main agreement solely in relation to data processing, this DPA will prevail to that extent.
